1. About these terms
1.1.These Website Terms of Use (the “Terms”) govern your access to and use of the InvestConnect website (the “Website”). The Website is owned and operated by InvestConnect Global Limited, a company registered in England and Wales (company number 17263903) whose registered office is at 16 Great Queen Street, Covent Garden, London WC2B 5AH (“we”, “us” or “our”).
1.2.By accessing or using the Website, you agree to be bound by these Terms. If you do not accept these Terms, you must not access or use the Website. If you access or use the Website on behalf of an organisation, you confirm that you have authority to bind that organisation, and references to “you” include that organisation. You are responsible for ensuring that all persons who access or use the Website through your organisation, or using credentials issued to you, are aware of these Terms and comply with them, and any act or omission of any such person that would breach these Terms will be treated as your breach.
1.3.Our Privacy Policy explains how we handle personal data; it does not form part of these Terms.
2. Important notice — nature of the Website and no advice
InvestConnect is an information and discovery platform only. We do not provide financial, investment, legal, tax or other advice, and we do not arrange, advise on, manage, deal in or execute any investment or transaction. Nothing on the Website constitutes an offer, solicitation, recommendation or inducement to buy, sell or subscribe for any investment, or to enter into any transaction. You must not rely on any content on the Website as the basis for any investment or other decision, and you should take your own independent professional advice.
2.1.Information on the Website is provided for general information and discovery purposes only. We are not authorised or regulated by the Financial Conduct Authority, and we do not carry on any regulated activity through the Website. Any opportunity, organisation or information featured or referred to on the Website is presented for information and discovery purposes, has not been verified or endorsed by us as to its merits, and does not represent any recommendation by us.
2.2.Any decision to pursue, evaluate or transact in relation to any opportunity is made solely by you, on your own analysis and at your own risk, and is a matter between you and the relevant counterparty. We are not a party to, and accept no responsibility for, any such evaluation, negotiation or transaction.
3. Who may use the Website
3.1.The Website, and the platform it supports, are intended solely for investment professionals acting on behalf of institutional investors and the organisations that bring forward opportunities. The Website is not intended for, or directed at, retail clients, consumers or individuals acting outside their trade, business or profession.
3.2.By accessing or using the Website, you represent and warrant that:
3.2.1.you are accessing and using the Website as an investment professional in the course of a business, profession or trade, and not as a consumer;
3.2.2.where you are, or act for, an investor: (a) you are (or your organisation is) an “investment professional” within the meaning of article 19(5) of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005 (“FPO”), or a person falling within article 49(2)(a) to (d) FPO (high net worth companies, unincorporated associations etc.), or another person to whom the content of the Website may lawfully be communicated without contravening section 21 of the Financial Services and Markets Act 2000; or (b) where you are outside the United Kingdom, you are an equivalent professional or institutional investor under the laws of your jurisdiction and you may access the Website without any registration, licensing or other obligation arising for us, or any law being breached, in that jurisdiction;
3.2.3.you are not relying on any protection afforded to retail clients or consumers under applicable law in connection with your use of the Website; and
3.2.4.you will not forward, distribute or otherwise make available any content on the Website to any person who does not satisfy the criteria above.
3.3.We may decline, restrict or withdraw access to the Website, or to any registration, at our discretion, including where we consider that a user does not meet these eligibility requirements.
4. Intellectual property
4.1.Unless otherwise indicated, all materials on the Website (including text, graphics, logos, icons, images, audio, data compilations and software) are owned by or licensed to us and are protected by copyright, trade mark, database and other intellectual property rights. “InvestConnect” and our logos are our trademarks or trade names and may not be used without our prior written consent.
4.2.We grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the Website for your internal business purposes of evaluating and using our information and discovery services. You must not, without our prior written consent: copy, reproduce, republish, distribute, sell, licence or commercially exploit any part of the Website; systematically extract, scrape or compile any data from the Website (including any opportunity or contact information); or use any part of the Website to build or train any competing product, dataset or service.
4.3.You must not, and must not enable, permit or facilitate any other person to, undertake any form of web scraping or text or data mining on or with respect to any part of the Website (including through any bot, scraper, spider or other automated system, software or process), or use any part of the Website, or any data, content or information on it, to develop or train any artificial intelligence model or system. This prohibition applies to the fullest extent permitted by law, and applies whether or not the relevant activity, or anything produced by it, competes with us.
4.4.You must not decompile, reverse engineer, disassemble or modify, or create derivative works from, any software forming part of, or made available through, the Website, except to the extent that such acts cannot lawfully be prohibited (including under sections 50B and 296A of the Copyright, Designs and Patents Act 1988).
5. Acceptable use
5.1.You agree that you will not:
5.1.1.use the Website in any way that is unlawful, fraudulent or misleading, or for any purpose other than that for which it is provided;
5.1.2.attempt to gain unauthorised access to the Website, the platform, any server or any account, or interfere with or disrupt the integrity, security or performance of the Website;
5.1.3.introduce any virus, malware or other harmful or malicious code, or use any automated means (including bots or scrapers) to access or collect data from the Website except as we expressly permit; or
5.1.4.use any contact details or other information obtained through the Website to send unsolicited communications, or otherwise misuse information made available through the Website.
5.2.You must not attack the Website by way of a denial-of-service or distributed denial-of-service attack. Breach of this provision, or any attempt to gain unauthorised access to the Website, the server on which it is stored or any server, computer or database connected to it, may be a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and will co-operate with those authorities, including by disclosing your identity to them, and your right to use the Website will cease immediately.
5.3.You are responsible for configuring your own information technology and software in order to access the Website, and for protecting your own hardware, software and data from viruses and other internet security risks, including by using your own virus protection software.
5.4.If we consider that you have breached these Terms, we may take such action as we consider appropriate, including: suspending or terminating your access to the Website or any registration; issuing you with a warning; commencing legal proceedings against you (including for reimbursement of our costs on an indemnity basis); disclosing information to law enforcement or regulatory authorities where we consider it necessary or are required to do so; and/or taking any other lawful action we reasonably consider appropriate. We exclude our liability for anything we do in response to any breach or suspected breach of these Terms.
6. Pre-launch registration
6.1.Ahead of the launch of our platform, we may invite eligible users to register an interest and to provide certain details (including name, organisation, role and contact information). Registration enables us to contact you about the platform and to prepare for its launch. The provisions of these Terms, including the eligibility, no-advice, intellectual property, acceptable use and liability provisions, apply to your registration and to any information you provide.
6.2.Registration does not create any entitlement to access the platform, any priority, or any binding commitment by us to provide the platform or any service, and does not constitute an offer of any investment or service. We may accept, decline or withdraw any registration at our discretion.
6.3.Access to the platform will be made available only when the platform launches, and will be subject to separate platform terms which we will provide at that time. Those separate platform terms will govern your use of the platform and, to the extent of any inconsistency, will prevail over these Terms in relation to platform access. You must provide accurate and complete information on registration and keep it up to date, and you are responsible for maintaining the confidentiality of any access credentials issued to you.
6.4.Where you register or otherwise provide your contact details to us, we may send you communications relating to the Website, the platform and these Terms (including notice of changes) by email. We will only send you marketing communications where permitted by law, and you may opt out of marketing communications at any time by using the unsubscribe link included in any such communication or by contacting us at hello@investconnect.com. 7. Third-party links and content
7.1.The Website may contain links to, or content from, websites and resources operated by third parties. Those links and content are provided for convenience only. We do not endorse, and are not responsible for, the content, products, services or practices of any third party, and we have no control over them. Any dealings you have with a third party are solely between you and that third party.
8. Disclaimers
8.1.The Website and all content on it are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we make no warranties, representations or undertakings of any kind, whether express or implied, in relation to the Website or its content, including any implied warranties of satisfactory quality, fitness for a particular purpose, accuracy, completeness or non-infringement, and all such warranties are excluded.
8.2.We do not warrant that the Website will be available, uninterrupted, timely, secure or error-free, that defects will be corrected, or that the Website or the means by which it is made available are free of viruses or other harmful components. We do not warrant or represent that any information on the Website (including any information relating to an opportunity or organisation) is accurate, complete or current, and we accept no responsibility for any reliance placed on it.
9. Our liability
9.1.Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.
9.2.Subject to the clause above, and to the fullest extent permitted by law:
9.2.1.our total liability arising out of or in connection with your access to or use of (or inability to use) the Website or any content on it, whether in contract, tort (including negligence), breach of statutory duty or otherwise shall not exceed £1,000 (one thousand pounds sterling);
9.2.2.we will not be liable for any loss of profit, loss of business or revenue, loss of goodwill, loss of anticipated savings, loss of or corruption of data, or any indirect, special or consequential loss, in each case however arising.
9.3.You acknowledge that the Website is provided for information and discovery purposes only, that the limitations and exclusions in these Terms are reasonable having regard to that purpose and to the fact that the Website is provided to professional and institutional users, and that you are responsible for your own decisions and for taking your own professional advice.
10. Indemnity
10.1.You will indemnify us, and keep us indemnified, against all losses, liabilities, damages, costs and expenses (including reasonable legal costs) that we suffer or incur arising out of or in connection with your breach of these Terms, your misuse of the Website or any content on it, or your breach of any applicable law or the rights of any third party in connection with your use of the Website.
11. Availability and changes to the Website
11.1.We may change, suspend or withdraw all or any part of the Website, or restrict access to it, at any time and without notice. We do not guarantee that the Website, or any content on it, will always be available or uninterrupted. We may also update or change these Terms at any time by posting the updated Terms on the Website and providing reasonable notice to registered users. Your continued use of the Website after we do so constitutes your acceptance of the updated Terms.
12. General
12.1.These Terms constitute the entire agreement between you and us in relation to your use of the Website, and supersede any previous terms in relation to that subject matter.
12.2.If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.
12.3.No failure or delay by us to exercise any right or remedy under these Terms will waive that or any other right or remedy. You may not assign or transfer your rights or obligations under these Terms; we may assign or transfer ours.
12.4.A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.
12.5.These Terms, and any dispute or claim arising out of or in connection with them or your use of the Website (including non-contractual disputes or claims), are governed by the laws of England and Wales, and you and we submit to the exclusive jurisdiction of the courts of England and Wales.
